ScanRise: Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and SPENCER AI (ABN 31 978 335 623), Victoria, Australia ("we", "us", "our"), for the ScanRise app ("the app"). By downloading or using the app you agree to these Terms. If you do not agree, do not use the app.

1. Licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to use the app on Apple devices you own or control, in line with the App Store terms and these Terms.

2. ⚠ Alarm reliability, important

ScanRise helps you wake up, but you should not rely on it as your only alarm for anything critical (work, flights, medication, appointments). Mobile operating systems can delay, silence, or prevent third-party alarms, for example if the device is off, muted, in a low-power state, out of battery, or if the app is closed or restricted by the system. To the extent permitted by law, we do not guarantee that an alarm will sound, and we are not liable for any missed alarm, missed event, oversleeping, or any loss that follows from them. For anything you cannot afford to miss, use a backup (such as your device's built-in Clock alarm).

3. ⚠ Wellness, not medical advice

ScanRise's sleep-cycle guidance, sleep tracking, sleep stages, sleep score, wellness tracking, and related features are for general wellness and informational purposes only. ScanRise is not a medical device and does not diagnose, treat, cure, or prevent any condition. Sleep-cycle timing is an approximation based on population averages, and sleep stages and the sleep score are estimates from how much your phone senses you move. None of them is a medical measurement, and they will not be accurate for every individual. To the extent permitted by law, we are not liable for any decision you make based on them. Consult a qualified healthcare professional for any sleep, health, or medical concern, and do not disregard professional advice because of anything in the app.

4. Camera and your data

To dismiss an alarm, the app uses your camera to recognise an object on your device. No images or video are captured, stored, or transmitted. Your other data (settings, wellness entries, sleep sessions, etc.) is stored on your device. The app sends purchase information to Apple and our purchase provider, and anonymous crash diagnostics to our error-monitoring provider, as described in our Privacy Policy, which forms part of these Terms.

5. Subscriptions, trial and payment

ScanRise offers a 7-day free trial, after which continued use requires a purchase.
Paid plans: Monthly (US$1.99) and Yearly (US$15.99) are auto-renewable subscriptions; Lifetime (US$99.99) is a one-time purchase that gives you the paid features for as long as ScanRise is available and supported. Prices may vary by region and over time.
Payment is charged to your Apple ID at confirmation of purchase.
Subscriptions renew automatically for the same period and price unless cancelled at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.
Manage or cancel your subscription in your Apple ID account settings, cancellation must be done there, not in the app.
Refunds are handled by Apple under their policies; we cannot issue refunds directly. This does not limit your rights under the Australian Consumer Law; contact us if the app is faulty.

6. Acceptable use, suspension and availability

Don't misuse the app, reverse-engineer it, resell it, or use it unlawfully. To the extent permitted by law, we may suspend or end your access to the app, and we may change, suspend, or discontinue the app or any feature of it, at our discretion.

7. Intellectual property

The app and its content are owned by us or our licensors and protected by law. ScanRise uses open-source components (including TensorFlow.js and COCO-SSD under the Apache 2.0 licence, and the Poppins and DM Sans fonts under the SIL Open Font License); their licences are acknowledged accordingly.

8. Disclaimers and limitation of liability

The app is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law. To the maximum extent permitted by law:

we are not liable for any indirect, incidental, or consequential loss, or for any loss of opportunity, income, data, or enjoyment, however it is caused;
we are not liable for missed alarms, missed events, or oversleeping (see section 2), or for decisions based on sleep or wellness information (see section 3);
our total liability to you for everything to do with the app is limited to the greater of the amount you paid for the app in the 12 months before the claim arose, or AUD $50.

Nothing in these Terms excludes, restricts, or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded, restricted, or modified by agreement, and nothing limits our liability for death or personal injury caused by our negligence, or for fraud.

9. Changes

We may update these Terms, for example when the app or the law changes. We will give you notice in the app before a material change takes effect, and update the date at the top. If you don't agree, you can stop using the app and cancel your subscription in your Apple ID settings. If you keep using the app after a change takes effect, you accept the updated Terms. Changes apply from when they take effect, not to anything that happened before.

10. Apple and the App Store

If you got ScanRise from Apple's App Store:

these Terms are between you and us, not Apple. We, not Apple, are responsible for the app and its content;
you may use the app on Apple devices you own or control, as allowed by the App Store's Usage Rules;
Apple has no duty to provide maintenance or support for the app;
if the app fails to meet any warranty that applies, you can tell Apple, and Apple may refund the purchase price you paid for it. To the extent permitted by law, Apple has no other warranty obligation for the app;
Apple isn't responsible for any claims about the app, including product liability claims, claims that it fails to meet a legal or regulatory requirement, consumer protection or privacy claims, or claims that it infringes someone else's intellectual property. We are responsible for dealing with those, as these Terms set out;
you confirm that you are not in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not on any U.S. Government list of prohibited or restricted parties;
you must comply with any third-party terms (such as your mobile carrier's) that apply when you use the app;
Apple and its subsidiaries are third-party beneficiaries of these Terms and can enforce them against you.

11. Governing law

These Terms are governed by the laws of Victoria, Australia, and disputes are subject to the courts there, unless applicable consumer law provides otherwise.

12. General

If any part of these Terms is invalid or unenforceable, it is read down or severed only as far as needed, and the rest of these Terms continues to apply. Every part of these Terms applies only to the extent permitted by law.
